Terms of Service

Effective 2026-11-04

These terms govern your use of Healthesis.AI. Please read them carefully: they include important limits on our liability and explain that the service produces AI-generated research aids, not advice.

1. About these terms

These Terms of Service (the “Terms”) form an agreement between you and Healthesis.AI (“Healthesis.AI”, “we”, “us” or “our”) for the use of the Healthesis.AI website, application and related services (the “Service”). If you use the Service on behalf of an organisation, “you” means both you and that organisation.

By creating an account, subscribing or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service.

2. Eligibility

  • The Service is a professional tool intended for business use only, for example by venture capital and other professional investors. It is not offered to consumers, and you must not use it for personal, family or household purposes.
  • You must be at least 18 years old.
  • If you accept these Terms on behalf of an organisation, you confirm that you have the authority to bind that organisation to them.

3. Your account

  • You must give accurate information when you register and keep it up to date.
  • You are responsible for keeping your password confidential and for all activity under your account. Subscriptions are for a single named user; do not share your sign-in details.
  • Tell us promptly at support@healthesis.ai if you suspect unauthorised access to your account.

4. The Service

The Service analyses documents and public information you provide or that it retrieves, and produces research outputs such as company profiles, findings, regulatory pathway candidates, market and financial calculations, diligence gap registers and reports (“Output”). We may improve, change or discontinue features from time to time. If we make a change that materially reduces the core functionality of a paid subscription, we will tell you in advance where reasonably possible.

We aim to keep the Service available and reliable, but we do not promise that it will be uninterrupted, error-free or available at any particular time, or that any analysis will complete within a particular time.

5. Subscriptions, reports and billing

Plans and report allowance

  • Paid plans are available at the prices shown on our pricing page when you subscribe. Each plan is for a single workspace. A Private Beta invitation is free, single-use, and limited to the invited email and role. It does not grant a paid plan.
  • The monthly plan includes a set number of reports per monthly billing period. The annual plan includes a set number of reports for the subscription year, which may be used at any time during that year.
  • Every analysis run counts as one report, including re-analysis after you add documents and market re-assessments. Analyses that fail are not counted.
  • Included reports that you do not use do not roll over to the next billing period and have no cash value.
  • You may buy extra reports at any time at the price shown in the Service. Extra reports do not expire while your subscription remains active; they lapse if your subscription ends.

Payment and renewal

  • Payments are processed by our payment provider, Stripe. By subscribing you authorise us, through Stripe, to charge your payment method for the subscription fees and any extra reports you buy.
  • Subscriptions renew automatically at the end of each billing period for the same period unless you cancel before the renewal date.
  • Prices are in US dollars and exclude taxes. Applicable sales tax, VAT or similar taxes may be added and are your responsibility.
  • We may change our prices. We will give you at least 30 days' notice by email before a price change applies to your subscription, and the new price will take effect from your next renewal after the notice period. If you do not agree, you can cancel before that renewal.
  • If a payment fails, we may retry it and may suspend access to paid features until payment is made. If payment remains outstanding, we may cancel your subscription.

Cancellation and refunds

  • You can cancel at any time in the Service. Cancellation takes effect at the end of the current paid period, and you keep access until then.
  • Fees are non-refundable, including for partial periods and unused reports, except where a refund is required by applicable law.

6. Acceptable use

You must not, and must not allow others to:

  • use the Service for any unlawful purpose or upload content that is unlawful, defamatory, infringing or malicious (including malware);
  • upload documents or data that you do not have the right to share with us or to have processed as described in these Terms and our Privacy Policy, including in breach of a confidentiality agreement;
  • upload personal health information, patient-identifiable data or other special-category personal data. The Service is not designed to process such data and you must remove or anonymise it before uploading;
  • copy, modify, decompile, reverse engineer or attempt to extract the source code, models, prompts or rule packs of the Service, except to the extent applicable law expressly permits this despite this restriction;
  • access the Service by automated means (such as bots or scrapers) other than through features we provide, make excessive automated requests, or place an unreasonable load on our infrastructure;
  • probe, scan or test the vulnerability of the Service or bypass any security or usage limit, except as part of good-faith responsible disclosure as described on our Security page;
  • resell, sublicense or provide the Service to third parties, or share one subscription between several people; or
  • use the Service or its Output to build a competing product or service.

7. Your content

  • You keep all rights in the documents, information and other material you upload or submit (“Customer Content”).
  • You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you, including by sending it to the service providers listed in our Privacy Policy. We do not use Customer Content to train AI models, and we do not sell it.
  • You are responsible for Customer Content, for having all rights and permissions needed to upload it, and for complying with any confidentiality obligations you owe to the companies you evaluate.

8. AI-generated Output

Output is generated with the help of artificial intelligence and automated processing. It may be inaccurate, incomplete, out of date or misleading, even where it cites sources and has passed automated checks.

  • Output is a research aid. It is not investment, financial, legal, regulatory, medical, tax or other professional advice, and it is not a recommendation to buy, sell or hold any investment.
  • Regulatory pathways are candidates for review by qualified experts, not regulatory determinations. Patent information is not a freedom-to-operate, validity or infringement opinion and must be reviewed with patent counsel.
  • You are solely responsible for verifying Output against the cited and other sources before relying on it, and for all decisions you make using it.
  • Subject to these Terms and payment of applicable fees, you may use Output for your internal business purposes, including sharing it within your organisation and with your professional advisers and co-investors. Output for other users may be similar to yours, and you do not acquire exclusive rights in it.

9. Third-party sources and services

The Service retrieves information from third-party sources such as public regulatory databases, clinical trial registries, literature indexes, patent records and websites, and relies on third-party providers such as AI model, payment, email and hosting providers. We do not control these third parties and are not responsible for the accuracy, availability or content of third-party information. Your use of third-party information may be subject to the terms of its publisher. Links to third-party sites are provided for convenience only.

10. Confidentiality

We treat Customer Content and Output as confidential. We will use them only to provide, secure and support the Service, will protect them with reasonable care, and will disclose them only to our personnel and service providers who need access for those purposes and are bound by confidentiality obligations, or where required by law. If we are legally required to disclose Customer Content, we will notify you first where the law allows. These obligations do not apply to information that is or becomes public through no fault of ours, or that we receive lawfully from someone else without a duty of confidentiality.

Any non-public information about the Service that we share with you, such as pricing offered only to you or pre-release features, is our confidential information and you must not disclose it.

11. Our intellectual property

The Service, including its software, design, rule packs, prompts, documentation and branding, is owned by Healthesis.AI or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription for your internal business purposes. All rights not expressly granted are reserved.

12. Feedback

If you send us suggestions or feedback about the Service, we may use them without restriction or obligation to you. We will not identify you publicly as the source without your permission.

13. Suspension and termination

  • You may stop using the Service and delete your account at any time. Deleting your account cancels any active subscription.
  • We may suspend or terminate your access, with notice where reasonably possible, if you materially breach these Terms (including the acceptable use rules), fail to pay fees when due, use the Service in a way that creates a security, legal or operational risk to us or other users, or if we are required to do so by law.
  • We may discontinue the Service as a whole with at least 30 days' notice. In that case we will refund any prepaid fees for the period after the Service ends.

14. Your data on termination

While your account is active, you can export reports as PDF or Word documents and download the documents you uploaded. Please export anything you need before deleting your account. When you delete your account, we permanently delete its workspaces, documents and reports from our live systems; copies in backups are overwritten as backups rotate, within 14 days. We may retain limited records such as billing and tax records where the law requires it, as described in our Privacy Policy.

15. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service and all Output are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness or reliability. We do not warrant that the Service will meet your requirements or that Output will be correct.

16. Limitation of liability

To the maximum extent permitted by applicable law:

  • neither Healthesis.AI nor its suppliers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, investment returns, business opportunity, goodwill or data, however caused and on any theory of liability, even if advised of the possibility of such damages; and
  • our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you paid to us for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnity

To the maximum extent permitted by applicable law, you will defend, indemnify and hold harmless Healthesis.AI from and against any third-party claims, and related losses, damages, liabilities, costs and expenses (including reasonable legal fees), arising from (a) Customer Content, including any claim that you had no right to upload it; (b) your breach of these Terms or of applicable law; or (c) decisions you or others make in reliance on Output.

18. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of this page shows when they were last changed. If we make material changes, we will notify you by email or in the Service at least 30 days before they take effect, unless the change is required sooner by law or addresses a security issue. If you continue to use the Service after changes take effect, you accept the updated Terms; if you do not agree, you may cancel your subscription before then.

19. Disputes

If you have a concern or dispute about the Service, please contact us first at support@healthesis.ai. Both parties agree to try in good faith to resolve any dispute informally through negotiation for at least 30 days before starting formal proceedings. If the dispute is not resolved, it will be determined in accordance with applicable law.

20. General

  • Severability. If any part of these Terms is found to be invalid or unenforceable, that part will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect.
  • Entire agreement. These Terms, together with our Privacy Policy and any terms presented at checkout, are the entire agreement between you and Healthesis.AI regarding the Service and replace any prior agreements on that subject.
  • No waiver. A failure or delay in enforcing any right is not a waiver of that right.
  • Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours in connection with a reorganisation, merger or sale of the Service, and will notify you if we do.
  • Events beyond control. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than your obligation to pay fees.
  • Notices. We may send notices to the email address associated with your account. You may send notices to us at support@healthesis.ai.
  • Survival. Sections that by their nature should survive termination, including those on fees owed, confidentiality, Output, disclaimers, limitation of liability, indemnity and disputes, will survive.
